By accessing or using our website, registering an account, or interacting with any listings, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to all of these Terms, you are prohibited from using the Platform.

1. Platform Nature and Scope of Service

AvailableSpace.com is a classifieds-style, matching lead-generation directory.

The Directory Model

The Platform exists solely to connect "Space Providers" (hosts/landlords) with "Space Renters" (tenants/businesses) looking for physical spaces.

No Offline Involvement

AvailableSpace.com does not own, manage, inspect, or lease any of the spaces listed on the Site. We do not handle rental payments between users, manage legal security deposits, or draft lease agreements.

Independent Contracts

All subsequent interactions, lease negotiations, insurance verifications, and financial transactions are handled completely offline directly between the parties. We are not a party to any contract formed between users.

2. Eligibility and Account Registration

To access most features of the Platform, including listing a space or contacting a provider, you must register for an account.

Email Verification Asset

You must provide a valid email address and complete our mandatory email verification process to activate your account.

Information Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account profile updated.

Account Security

You are responsible for safeguarding your password and managing access to your account. You agree to notify us immediately of any unauthorized use.

3. Monetization and Launch Phase Pricing

Limited-Time Promotional Phase

AvailableSpace.com is currently operating in a promotional "Launch Phase." During this period, listing submissions are 100% free ($0.00) for all space tiers.

Pricing Architecture

When the Launch Phase concludes, the Platform intends to introduce a tiered pricing model for Space Providers. Pricing will be based on the category and size of the space listed. Renters will always browse and inquire for free.

Future Pricing Notice

We reserve the right to modify pricing structures at any time. Users will be notified in advance of any changes that affect their listings or accounts.

4. User Conduct and Prohibited Activities

By using AvailableSpace.com, you agree not to:

• Post false, misleading, or fraudulent listings or information.
• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Harass, abuse, or harm another person or entity through the Platform.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks.
• Use any automated system, including "robots," "spiders," or "scrapers," to access the Platform.
• Collect or harvest any personally identifiable information from the Platform.

5. Listing Content and Responsibilities

Space Provider Responsibilities

If you are a Space Provider, you are solely responsible for the accuracy and legality of your listings. You represent and warrant that you have the legal right to list the space and that all information provided is accurate and complete.

Content Standards

All listings must comply with our content guidelines. We reserve the right to remove any listing that violates these Terms or that we deem inappropriate, misleading, or harmful.

Listing Expiration

Listings are active for 30 days by default. Space Providers can renew, edit, or remove their listings at any time through their Provider Dashboard.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AVAILABLESPACE.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• The implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or quality of any listings, content, or information obtained through the Platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AVAILABLESPACE.COM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from any transactions or interactions between users.
• Damages resulting from unauthorized access to or alteration of your account or data.
• Any damages arising from spaces listed on or discovered through the Platform.

8. Indemnification

You agree to defend, indemnify, and hold harmless AvailableSpace.com, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

9. Intellectual Property

The Platform and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of AvailableSpace.com and its licensors. The Platform is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AvailableSpace.com.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AvailableSpace.com regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
